1. Agreement to Terms

By creating an account or using ShipSherlock ("the Service"), you agree to these Terms of Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these terms. If you do not agree, do not use the Service.

2. Description of Service

ShipSherlock is a shipping invoice auditing service. We connect to your carrier accounts (UPS, FedEx, Canada Post), analyze your shipping invoices for billing errors and overcharges, and file refund claims with carriers on your behalf. The Service is designed for Canadian e-commerce businesses.

3. Account Registration

To use ShipSherlock, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you suspect unauthorized access to your account.

4. Carrier Account Authorization

By connecting a carrier account, you authorize ShipSherlock to access your shipping invoices, tracking data, and related billing information through the carrier's API. You also authorize us to file refund claims on your behalf for identified billing errors. You represent that you have the authority to grant this access.

5. Billing and Payment

  • Fee structure: ShipSherlock charges 50% of recovered credits. There are no setup fees, monthly fees, or minimum charges.
  • When you are charged: At the end of each calendar month, we calculate the total credits confirmed on your carrier account(s) during that month. Our 50% fee is then charged to your payment method on file.
  • Payment method: You must provide a valid credit or debit card at signup. By providing your card, you authorize ShipSherlock to charge it for fees as described above.
  • No recovery, no charge: If we do not recover any credits for you in a given month, you are not charged anything.
  • Disputes: If you believe a charge is incorrect, contact us within 30 days at support@shipsherlock.com. We will review and resolve the dispute promptly.

6. Account Termination and Cancellation

You may cancel your account at any time by disconnecting your carrier accounts and requesting account closure. Upon cancellation:

  • We will stop auditing your invoices immediately.
  • Any fees for credits already confirmed on your carrier account prior to cancellation remain owing and will be billed at the end of the current billing period.
  • Your personal data will be deleted within 30 days of account closure.
  • There are no cancellation fees.

We reserve the right to suspend or terminate your account if you violate these Terms, provide false information, or engage in fraudulent activity.

7. Refund Claims and Results

ShipSherlock files refund claims based on our analysis of your shipping invoices. We do our best to identify legitimate billing errors, but we cannot guarantee that:

  • Every billing error will be detected.
  • Every claim filed will be approved by the carrier.
  • Any specific amount will be recovered.

Carrier decisions on refund claims are made solely by the carriers and are outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, ShipSherlock and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability to you for any claim arising from or related to the Service shall not exceed the total fees you have paid to ShipSherlock in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Indemnification

You agree to indemnify and hold harmless ShipSherlock and its operators from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Intellectual Property

All content, features, and functionality of the ShipSherlock service — including but not limited to text, graphics, logos, and software — are owned by ShipSherlock and are protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

11. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Dispute Resolution

If a dispute arises from these Terms or your use of the Service, both parties agree to first attempt to resolve it informally by contacting support@shipsherlock.com. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through the courts of the Province of Ontario, Canada.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
